1. Agreement to Terms

By accessing or using the CentroSpot website at centrospot.com ("Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Site or services.

These Terms apply to all visitors, prospects, and clients. For active client engagements, a separate project agreement or statement of work will also apply and takes precedence over these Terms where there is a conflict.

2. Services

CentroSpot provides web design, web development, mobile app development, e-commerce development, and digital marketing services. Specific deliverables, timelines, and pricing for each engagement are defined in the project agreement or statement of work provided to each client.

We reserve the right to refuse service to anyone for any reason at any time.

3. Payments & Refunds

Payment terms for each project are outlined in the project agreement. Typical terms include:

  • 50% deposit required to commence work
  • 50% balance due upon project completion and prior to final delivery
  • Monthly retainer fees are due on the 1st of each month
  • Invoices unpaid after 14 days may incur a late fee of 1.5% per month

Deposits are non-refundable once work has commenced. If CentroSpot is unable to complete a project after receiving a deposit, a pro-rated refund will be issued for work not yet completed.

4. Intellectual Property & Ownership

Upon receipt of final payment, CentroSpot assigns full ownership of the deliverables to the client. This includes:

  • All source code written specifically for the project
  • Custom design assets, graphics, and UI components
  • Written content created for the client
  • Domain names and hosting accounts (where applicable)

Third-party libraries, frameworks, and tools remain under their respective licenses. CentroSpot retains the right to display completed work in its portfolio unless the client requests otherwise in writing.

5. Client Responsibilities

To ensure timely delivery, clients are responsible for:

  • Providing content (text, images, branding) in a timely manner
  • Providing feedback within 5 business days of each review milestone
  • Supplying accurate business information and access credentials when requested
  • Ensuring all content provided is legally owned or licensed for use

Delays caused by the client's failure to provide required materials or feedback may extend the project timeline without penalty to CentroSpot.

6. Confidentiality

Both parties agree to keep confidential any proprietary, business, or technical information shared during the engagement. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

7. Limitation of Liability

CentroSpot's total liability for any claims arising from a project shall not exceed the total fees paid by the client for that project. We are not liable for indirect, incidental, or consequential damages including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

8. Warranties & Disclaimer

CentroSpot warrants that all work will be performed professionally and to industry standards. We do not warrant that:

  • Websites or applications will be free from all bugs after delivery
  • SEO or marketing efforts will produce specific search rankings or revenue results
  • Third-party services (hosting, payment processors, APIs) will remain available

9. Termination

Either party may terminate a project engagement with 14 days written notice. The client will be invoiced for all work completed up to the termination date. Monthly retainer agreements may be cancelled with 30 days written notice. Work completed during the notice period will be billed at the standard rate.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which CentroSpot operates. Any disputes arising from these Terms or a client engagement will be resolved through good-faith negotiation first. If negotiation fails, disputes will be resolved through binding arbitration before any court action.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
